These Terms of Use (“Terms”) govern your access to and use of Serenyc's websites, applications, connected devices, hardware, refills or consumables, subscriptions, and related services (collectively, the “Services”). These Terms constitute an agreement between you and Serenyc Limited, an Irish company with registered office at 6 Fern Road, Sandyford, Dublin D18 FP98, Ireland, company number 797268 (“Serenyc,” “we,” “us,” or “our”).
The Services are offered to you conditioned on your acceptance of these Terms and our Privacy Policy. By accessing or using the Services, you agree to be bound by these Terms and you acknowledge our Privacy Policy. If you do not agree, you must not access or use the Services.
Where you are a consumer, nothing in these Terms affects any mandatory rights you have under applicable consumer protection laws.
Safety Disclaimer and Important Information
If the Services include physical products, connected devices, diffusers, dispensers, or other hardware (each a “Device”), you must use Devices only as directed and only in accordance with any official instructions we provide. You are responsible for using Devices safely and for ensuring that the environment where the Device is installed is appropriate.
Serenyc is not responsible for damage caused by misuse, incorrect installation, failure to follow instructions, or use with incompatible accessories or consumables.
You acknowledge that Devices and consumables may involve risk if used improperly, including risk of spills, staining, irritation, or other damage, and you agree to take reasonable precautions.
This safety section is intended to be updated as our Device specifications evolve.
Safety Information for Devices and Consumables
This section applies if you use or interact with Devices, consumables, refills, fragrance oils, essential oil-based refills, or similar materials.
You agree to follow all warnings, labels, and instructions supplied with any Device or consumable. You agree to keep Devices out of reach of children and pets and to use caution in areas where vulnerable persons may be present.
You agree not to ingest consumables. You agree to avoid eye and skin contact with liquids and to rinse thoroughly with water if contact occurs, and to seek medical advice if irritation persists or in urgent circumstances.
You agree not to open, tamper with, or disassemble Device components or consumables and not to attempt repairs. You agree not to refill cartridges or containers unless Serenyc explicitly authorises refilling as part of a product's design.
You agree not to place Devices near heat sources, open flames, extreme heat, or direct sunlight where this could affect performance or safety. You agree not to use Devices in confined spaces unless the product instructions expressly permit it.
You agree to unplug or power off a Device before cleaning and to clean only as instructed. You agree not to immerse Devices in water unless instructions explicitly permit it.
If a Device appears damaged, malfunctions, leaks, overheats, emits smoke, sparks, or behaves unusually, you agree to stop using it immediately and to contact us.
Nothing in this section is intended to replace mandatory labelling, safety warnings, SDS documentation, CLP compliance, or other regulatory requirements that apply to specific products, and official product packaging warnings prevail where provided.
No Medical Use
The Services are provided for lifestyle, environment, and consumer wellbeing support purposes. The Services are not a medical device and are not intended to diagnose, treat, cure, or prevent any disease or medical condition. You agree not to rely on the Services as medical advice and to seek professional advice where appropriate.
Eligibility and Account Registration
You must be at least 18 years old to use the Services unless we explicitly state otherwise for a specific feature. If accounts are offered, you may be required to create an account (“Account”). You agree to provide accurate information and keep your Account information up to date.
If you create an Account, you are responsible for maintaining the confidentiality of your login details and for all activity that occurs under your Account. You agree to notify us promptly if you believe your Account has been compromised.
We may suspend, restrict, or terminate Accounts where we reasonably believe there has been unauthorised access, misuse, breach of these Terms, or security risk.
Privacy and Data Protection
Our processing of personal data is described in our Privacy Policy. Your use of the Services is subject to that Privacy Policy, which is incorporated into these Terms by reference.
We may collect and process technical and usage data to operate, improve, and secure the Services, subject to your choices and applicable law.
Beta Features and Pre-Release Services
The Services may include beta, trial, pre-release, or experimental features. Such features may be modified, suspended, removed, or discontinued at any time. Beta features may be unreliable, may contain errors, and may not be suitable for uninterrupted operation.
Where you participate in a specific beta programme, separate Beta Participation Terms may apply.
User Content, Submissions, and Feedback
The Services may allow you to submit content, including comments, reviews, or feedback (“User Content”). You retain ownership of your User Content as between you and Serenyc.
You are responsible for User Content you submit and you represent that you have the rights necessary to submit it and that it does not violate any law or any third-party rights.
You grant Serenyc a non-exclusive, worldwide, royalty-free, transferable, sublicensable licence to host, store, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly display, and otherwise use your User Content for the purposes of operating, improving, marketing, and promoting the Services, including in connection with product development, troubleshooting, and service administration.
If you submit suggestions, ideas, or feedback, you agree that Serenyc may use them without restriction and without compensation to you and that any improvements or developments derived from such feedback belong to Serenyc.
To the extent permitted by law, you waive any moral rights you may have in User Content, including the right to be identified as the author, insofar as necessary for Serenyc to exercise the rights granted in these Terms.
We may remove User Content where we reasonably believe it violates these Terms, is unlawful, or creates risk.
Code of Conduct and Acceptable Use
You agree not to use the Services in a way that is unlawful, harmful, or interferes with others’ use of the Services. You agree not to attempt to gain unauthorised access to systems or data.
You agree not to:
- Copy, scrape, harvest, reverse engineer, decompile, disassemble, or attempt to extract source code or underlying models from the Services except where permitted by law and only to the extent permitted by law.
- Use the Services to transmit malware, malicious code, or perform any security testing without our written consent.
- Interfere with the Services, networks, or servers, including through denial-of-service attacks, automated traffic, or abusive behaviour.
- Impersonate any person or entity or misrepresent your affiliation.
- Post content that is defamatory, threatening, abusive, obscene, discriminatory, or otherwise unlawful.
- Collect or disclose others’ personal data without lawful basis or consent.
- Use the Services for resale, unauthorised commercial exploitation, or to compete with Serenyc using our confidential information.
We may investigate suspected violations and take actions including suspension or termination of access.
Mobile Features and Communications
The Services may provide mobile features, messaging, push notifications, or similar communications. You are responsible for any carrier fees, data charges, or messaging costs imposed by your provider.
Where SMS marketing is offered, separate opt-in and opt-out mechanisms will apply and will be described at the point of sign-up. Consent to marketing messages is not a condition of purchase.
We may send administrative or service-related communications that are necessary to provide the Services, for security, or for legal compliance.
Automatic Updates
We may provide patches, bug fixes, updates, upgrades, or other modifications (“Updates”) to improve the Services. Some Updates may be applied automatically. If you do not wish to receive Updates, you may need to stop using the Services, because certain Updates may be necessary for functionality or security.
Compatibility and Installation
You are responsible for confirming that any Device is compatible with your environment, including electrical compatibility, ventilation, and safe placement. You are responsible for ensuring any installation complies with applicable laws and requirements in your location.
We are not responsible for injury or damage caused by self-installation, improper installation, or use contrary to instructions.
Third-Party Links and Services
The Services may contain links to third-party websites or services. We do not control third-party sites or services and are not responsible for their content, policies, or practices. Your interactions with third parties are at your own risk and are governed by their terms and policies.
Purchases, Subscriptions, and Payments
If the Services allow purchases, you agree to provide accurate billing and payment information and to pay all charges, including applicable taxes and shipping. We may use third-party payment processors and you acknowledge that processors may have their own terms.
If subscriptions are offered, renewal, billing cadence, cancellation, and related terms will be disclosed at purchase or in subscription-specific terms. Unless required by law, fees paid are non-refundable, and cancellation typically takes effect at the end of the current billing period.
We may refuse or cancel orders where we reasonably believe the order is fraudulent, unlawful, or intended for resale in breach of these Terms.
Intellectual Property
The Services, including all content, software, firmware, designs, trademarks, logos, text, graphics, and other materials (“Serenyc Content”), are owned by Serenyc or its licensors and are protected by intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your personal, non-commercial use, subject to these Terms.
You may not copy, modify, distribute, sell, lease, or exploit any part of the Services or Serenyc Content except as expressly permitted by these Terms or by written permission.
Disclaimers
The Services are provided “as is” and “as available.” To the fullest extent permitted by law, Serenyc disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.
We do not guarantee that the Services will be error-free, secure, or uninterrupted, and we do not guarantee that defects will be corrected.
Where you are a consumer, these disclaimers apply only to the extent permitted by applicable law.
Limitation of Liability
To the maximum extent permitted by law:
- Serenyc will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, or goodwill, arising out of or relating to your use of, or inability to use, the Services.
- Serenyc’s total aggregate liability for all claims arising out of or relating to the Services will not exceed the greater of €100 or the total amount paid by you to Serenyc for the Services in the 12 months preceding the event giving rise to the claim.
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any liability that cannot be limited or excluded under applicable law, including mandatory consumer protection laws.
Indemnity
To the extent permitted by law, you agree to indemnify and hold harmless Serenyc, its directors, officers, employees, and agents from and against claims, losses, liabilities, damages, and expenses arising from your breach of these Terms, your misuse of the Services, or your violation of law or third-party rights.
Governing Law and Dispute Resolution
These Terms are governed by the laws of Ireland, without regard to conflict-of-law principles.
If a dispute arises, you agree to contact us first at hello@serenyc.com to attempt to resolve the dispute informally.
If informal resolution is not successful, the courts of Ireland will have jurisdiction, unless mandatory consumer protection laws in your country of residence require otherwise.
Changes to These Terms
We may modify these Terms from time to time. When we do, we will update the “Last Updated” date at the top. Your continued use of the Services after updated Terms are posted constitutes your acceptance of the updated Terms, except where applicable law requires that we obtain your consent.
If you do not agree to the updated Terms, you must stop using the Services.
Termination
We may suspend or terminate your access to the Services at any time where we reasonably believe you have violated these Terms, where required for security, or where the Services are discontinued.
Upon termination, any licences granted to you will end and you must stop using the Services.
Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, indemnity, and governing law.
Notices and Electronic Communications
By using the Services or communicating with us electronically, you consent to receive communications from us electronically, including by email or by notices posted within the Services. Electronic communications satisfy any legal requirement that such communications be in writing.
Severability
If any provision of these Terms is held unlawful, invalid, or unenforceable, the remaining provisions will remain in effect.
Entire Agreement
These Terms, together with the Privacy Policy and any additional terms that apply to specific features, purchases, or beta programmes, constitute the entire agreement between you and Serenyc regarding your use of the Services.
